1. The Hi, world Service
Welcome to Hi, world ("Hi," "we," "us," or "our").
These Terms of Use ("Terms") govern your access to and use of the Hi mobile application and related services (collectively, the "Service") provided by Nekonomikon Co., Ltd.
By creating an account or using the Service, you agree to these Terms. If you do not agree to these Terms, you may not use the Service.
The Service allows you to create, organize, discover, and share content through Flips and related features.
The Service is currently available on iOS through the Apple App Store.
1.1 Personalization and Recommendations
We may use algorithms and automated processes to organize and personalize parts of the Service, such as your feed, content organization, or recommendations.
These processes may take into account information such as your interactions with the Service, your activity, and your settings.
The Service currently does not use artificial intelligence or machine-learning models to provide AI-generated responses or process your content.
Some features may use your location if you grant the relevant permission, including to provide weather information. Further information about how we process personal information and location data is available in our Privacy Policy.
1.2 Safety and Integrity
We work to maintain the security and integrity of the Service and to prevent abuse.
We may take action against content or accounts that violate these Terms, applicable law, or that present a risk to users, the Service, or other persons.
1.3 Changes to the Service
We may add, remove, modify, or discontinue features of the Service from time to time.
Some features may be experimental, provided on a limited basis, or changed without notice.
Where required by applicable law, we will provide notice of material changes or discontinuation of the Service.
2. How the Service Is Funded
Hi is currently provided without third-party advertising.
We do not currently display third-party advertisements within the Service.
We may introduce paid features, subscriptions, or other monetization methods in the future. If we introduce paid features or materially change how the Service is funded, we may update these Terms and provide any notices required by applicable law.
3. Privacy
Your use of the Service is also subject to our Privacy Policy, which explains how we collect, use, store, and disclose information.
The Privacy Policy forms part of these Terms by reference.
By using the Service, you acknowledge that your information will be processed as described in the Privacy Policy.
4. Your Account
4.1 Creating an Account
To use the Service, you must create an account using an email address.
We use your email address to send you a verification code that allows you to register and sign in.
We do not require a password for account access.
After creating an account, we assign you a unique account ID. You may then choose a nickname or display name for use within the Service.
You are responsible for providing accurate information and for maintaining access to the email address associated with your account.
4.2 Account Access and Recovery
Your account is directly associated with the email address you used to register.
You are responsible for maintaining access to that email address.
If you lose access to the email address associated with your account, we may not be able to verify that you are the account owner. In such circumstances, we may be unable to restore access to your account or its associated content.
4.3 Age Requirement
You must be at least 16 years old to create an account and use the Service.
By creating an account or using the Service, you represent that you are at least 16 years old or otherwise meet the minimum age required to use the Service under applicable law.
If you are under 16, you may not create an account or use the Service.
4.4 Eligibility
You may not use the Service if:
you are prohibited from using the Service under applicable law;
your account has been permanently disabled by us for serious or repeated violations of these Terms or applicable law; or
you are otherwise not legally permitted to enter into these Terms.
5. Your Use of Hi
5.1 Acceptable Use
You agree to use the Service responsibly and in accordance with these Terms and applicable law.
You may not:
impersonate another person or entity;
provide materially false or misleading information in connection with your account;
use the Service for unlawful, fraudulent, deceptive, or harmful purposes;
upload, create, or share content that violates applicable law or infringes the rights of others, including copyright, trademark, privacy, or publicity rights;
use the Service to harass, threaten, intimidate, or harm others;
attempt to access another user's account or information without authorization;
access, collect, scrape, or harvest information from the Service through automated means without our prior written permission;
interfere with, disrupt, damage, or place an unreasonable burden on the Service or its infrastructure;
bypass, disable, or interfere with security or access controls;
reverse engineer, decompile, disassemble, or attempt to extract source code from the Service, except where such restriction is prohibited by applicable law;
sell, transfer, license, or purchase accounts or access credentials; or
use the Service in a manner that could reasonably harm Hi, its users, or the operation of the Service.
5.2 Your Content
You are responsible for the content you create, upload, or share through the Service.
You represent that:
you have the necessary rights, permissions, and authority to use and share your content;
your content does not violate applicable law or the rights of others; and
your content complies with these Terms.
You are responsible for determining whether your content should be Private or Public before publishing it through the Service.
6. Flips and Content Visibility
6.1 Private Flips
A Private Flip is visible only to you, the creator of the Flip.
6.2 Public Flips
A Public Flip is visible to all users of the Service.
Before making a Flip Public, you should carefully consider the content and information it contains. Do not include sensitive personal information, passwords, financial information, precise real-time location information, or personal information about another person in a Public Flip unless you have the necessary rights, permission, or legal basis to share that information.
6.3 Changing Flip Visibility
You may change a Private Flip to Public.
However, once you make a Flip Public, you cannot change that Flip back to Private.
Making a Flip Public is therefore an irreversible action with respect to the Flip's visibility setting.
You should make your visibility choice carefully before making a Flip Public.
6.4 Forwarding and Reuse of Public Flips
Public Flips may be forwarded, collected, or otherwise reused by other users through features of the Service.
If another user forwards or reuses a Public Flip, the forwarded or reused content may become part of that user's collection or content within the Service.
If you later delete the original Flip, copies or versions of the Flip that have previously been forwarded, collected, or otherwise reused by other users may remain available within the Service.
You acknowledge that once you make a Flip Public and it is forwarded or reused by another user, you may no longer have control over copies or versions of that content created by other users.
7. Permissions You Give to Us
7.1 License to Your Content
You retain ownership of the content you create and upload to the Service.
To operate and provide the Service, you grant Nekonomikon Co., Ltd. a non-exclusive, worldwide, royalty-free license to host, store, reproduce, process, display, and transmit your content to the extent reasonably necessary to:
provide the Service;
make your content available according to your selected visibility settings;
enable the functionality of Flips and related features;
maintain, secure, and operate the Service;
make technical modifications necessary to provide the Service.
When you make a Flip Public, this license includes the right to make that content available to other users of the Service in accordance with the functionality of the Service.
Where another user forwards or reuses a Public Flip, your content may continue to be displayed as part of that user's content or collection, as described in Section 6.4.
This license does not give us ownership of your content.
Except as necessary to operate the Service, comply with applicable law, protect users and the Service, or enforce these Terms, we will not use your content for purposes unrelated to providing and improving the Service.
The license for content that you delete ends when that content has been deleted from our active systems, subject to:
temporary retention in backups;
information we are required or permitted by law to retain;
copies or versions of Public Flips that other users have previously forwarded, collected, or otherwise reused.
7.2 App Updates
You agree that we may provide updates, upgrades, bug fixes, and other modifications to the Service.
Where supported by your device and applicable platform settings, updates may be downloaded and installed automatically or may require your approval.
Some updates may be necessary to continue using the Service.
8. Our Intellectual Property
The Service, including its software, source code, design, visual elements, user interface, trademarks, logos, names, and other materials provided by us, is owned by Nekonomikon Co., Ltd. or our licensors and is protected by applicable intellectual property laws.
These Terms do not transfer any ownership rights in our intellectual property to you.
Except as expressly permitted by these Terms or applicable law, you may not:
copy, modify, distribute, sell, lease, or license our intellectual property;
use our trademarks, logos, or branding without our prior written permission;
remove or alter proprietary notices;
use the Service or its materials to create a competing product or service.
9. Content Removal and Account Restrictions
9.1 Content Removal
We may remove, restrict, or disable access to content if we reasonably believe that the content:
violates these Terms;
violates applicable law;
infringes the rights of another person;
presents a security or safety risk;
is fraudulent, abusive, or harmful;
creates a significant risk to the Service or its users.
Where appropriate and required by applicable law, we may provide notice or an explanation regarding content removal.
9.2 Account Suspension or Termination
We may suspend, restrict, or terminate your account or access to all or part of the Service if:
you materially or repeatedly violate these Terms;
you violate applicable law;
you engage in harmful, abusive, fraudulent, or illegal conduct;
your use of the Service creates a significant security, safety, or legal risk;
we are required to do so by law;
we discontinue the Service or a material part of it.
Where reasonably possible and required by applicable law, we may provide notice before taking such action.
9.3 Copyright and Intellectual Property Infringement
If you believe that any content made available through the Service infringes your copyright or other intellectual property rights, please send a written infringement notice to our designated contact at alina@hi.industries. Your notice must include:
Identification of the copyrighted work or right claimed to be infringed;
Identification of the infringing material and its location within the Service (such as a link or Flip ID);
Your contact information (name, address, telephone number, and email);
A statement that you have a good faith belief that the disputed use is not authorized by the rights holder, its agent, or the law;
A statement, made under penalty of perjury, that the information in your notice is accurate and that you are the rights holder or authorized to act on their behalf;
An electronic or physical signature of the authorized person.
Nothing in these Terms limits any rights you may have under applicable consumer protection or other mandatory laws.
10. Deleting Your Account and Content
You may request deletion of your account by contacting us at alina@hi.industries or by using account deletion functionality within the Service, if available.
When you request account deletion:
we will take reasonable steps to delete or anonymize your account information and content from our active systems;
information may remain temporarily in backups or disaster recovery systems;
we may retain certain information where required or permitted by law;
we may retain information where reasonably necessary for security, fraud prevention, abuse prevention, dispute resolution, or the establishment, exercise, or defense of legal claims.
If the actual backup retention period is applicable, backups may retain deleted information for up to 30 days before it is deleted or overwritten.
Deleting an original Flip does not necessarily remove copies or versions of that Flip that other users have previously forwarded, collected, or otherwise reused, as described in Section 6.4.
11. Third-Party Platforms and Services
The Service is currently distributed through the Apple App Store and is designed for use on compatible iOS devices.
Your use of the Service may also be subject to terms and conditions imposed by Apple or other third parties that provide services or platforms through which you access the Service.
These Terms are between you and Nekonomikon Co., Ltd., and not with Apple.
Nekonomikon, not Apple, is solely responsible for the Service, its content, and addressing any claims relating to the Service (including product liability claims, regulatory compliance claims, and consumer protection claims). In the event of any third-party claim that the Service or your possession and use of the Service infringes that third party’s intellectual property rights, Nekonomikon, not Apple, will be solely responsible for the investigation, defense, settlement, and discharge of any such claim.
Apple is not responsible for the Service or its content, and Apple has no obligation to provide maintenance or support services for the Service, except as required by applicable law.
If you obtain the Service through the Apple App Store, you acknowledge that Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce these Terms against you as a third-party beneficiary where applicable.
12. Disclaimers
To the maximum extent permitted by applicable law, the Service is provided on an "as is" and "as available" basis.
To the extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
We do not guarantee that:
the Service will always be available;
the Service will be uninterrupted or error-free;
the Service will be completely secure;
content will always be preserved or available;
any particular feature will remain available;
the Service will meet your individual requirements.
We are not responsible for content created or shared by users, including Public Flips or content forwarded or reused by other users.
Nothing in these Terms excludes or limits warranties or rights that cannot legally be excluded or limited under applicable law.
13. Limitation of Liability
To the maximum extent permitted by applicable law, Nekonomikon Co., Ltd. will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunities arising out of or related to:
your use of or inability to use the Service;
content created or shared by you or other users;
unauthorized access to your account resulting from your failure to maintain access to your registered email address;
deletion, loss, or unavailability of content;
any interruption, modification, or discontinuation of the Service.
To the maximum extent permitted by applicable law, our total liability for any claim arising out of or relating to these Terms or the Service will not exceed the greater of:
the amount you paid to us for the Service during the 12 months immediately preceding the event giving rise to the claim;
JPY 10,000, if you have not paid us any amount for the Service.
Some jurisdictions do not permit certain limitations of liability. In those jurisdictions, our liability will be limited to the maximum extent permitted by applicable law.
Nothing in these Terms limits liability that cannot legally be limited or excluded under applicable law.
14. Governing Law and Disputes
If you are a consumer, you may have mandatory rights under the laws of your country or place of residence. Nothing in these Terms is intended to deprive you of those rights.
Except where mandatory consumer protection law provides otherwise, these Terms are governed by the laws of Japan, without regard to conflict-of-law principles.
To the extent permitted by applicable law, disputes arising out of or relating to these Terms or the Service will be subject to the jurisdiction of the Tokyo District Court as the court of first instance.
15. Changes to These Terms
We may update these Terms from time to time to reflect:
changes to the Service;
new features or functionality;
changes in our business practices;
legal or regulatory requirements;
other operational or security considerations.
When we make material changes, we will provide notice as required by applicable law and, where appropriate, give you an opportunity to review the updated Terms before they take effect.
The updated Terms will include a revised "Last Updated" date.
Your continued use of the Service after the updated Terms become effective means that you accept the updated Terms, to the extent permitted by applicable law.
